Corporate Structure and Statutory Accounts
In 2007 a new corporate structure was created for ODEON & UCI Cinemas Group, for the purpose of refinancing the business. The existing subsidiaries, previously owned by Corleone Capital Ltd, were bought by a new holding company, ODEON & UCI Cinemas Holdings Ltd ("Opco"). A new group of companies was also established, owned by ODEON Property Group LLP ("Propco"), which bought certain freehold and long leasehold interests from Opco. Opco and Propco are distinct entities, each with its own corporate governance arrangements and consolidated financial results.
Both are owned by Terra Firma.
Terra Firma raises funds from external investors including pension funds, insurance companies, sovereign wealth funds and individuals from around the world. Its largest investors are the pension funds - investing on behalf of today's pensioners, many of them retired public employees, and the pensioners of the future. In an environment where many pension plans are under-funded or under threat, the success of Terra Firma's businesses helps to provide improved and more secure income for pensioners and other investors. Terra Firma's funds make investments in selected businesses across the world, but with particular focus on Europe. These portfolio businesses currently operate in over 60 countries globally.
